Trilemma Foundation Charter

Trilemma Tournament Foundation is the legal name of the organization. It operates publicly as Trilemma Foundation and is referred to in this Charter as Trilemma.

Trilemma is a Canadian registered charity, headquartered in British Columbia, Canada, and operating globally.

Trilemma develops technical talent through direct-to-talent training, university partnerships, open-source collaboration, and performance-based opportunities.

Trilemma helps contributors learn, build, demonstrate, and validate technical ability through practical, verifiable work.

All Trilemma activities are carried out in furtherance of its charitable purposes and subject to applicable law.

If any activity, program, partnership, or interpretation of this Charter would conflict with Trilemma's charitable purposes or applicable law, Trilemma's charitable purposes and applicable law control.

Trilemma's mission is to help capable technical contributors advance based on demonstrated ability.

Trilemma supports contributors regardless of geography, institutional affiliation, or traditional credentials by creating practical pathways to build useful work and demonstrate ability.

Trilemma operates as an educational and applied-research lab focused on technical talent development.

Trilemma explores bold ideas, builds tools, runs open-source projects, and creates hands-on learning opportunities that are broadly accessible to people with internet access.

Direct-to-talent training is Trilemma's primary model. University partnerships are an important channel for this work but do not define the limits of Trilemma's mission or audience.

Formal education partnerships support Trilemma's direct-to-talent mission but do not replace it, limit it, or make Trilemma responsible for institutional academic obligations unless expressly agreed in writing.

By focusing on talent first, Trilemma aims to generate broader impact through career pathways, data-driven innovation, open-source infrastructure, applied research, and ecosystem development.

Trilemma's activities may include:

• publishing documentation, tutorials, guides, and educational resources;
• running training programs, datathons, challenges, tournaments, and benchmarks;
• developing open-source software, datasets, research kits, analytics tools, and learning infrastructure;
• supporting contributors through mentorship, feedback, code review, and project guidance;
• helping contributors build public portfolios of practical work;
• partnering with universities on capstones, practicums, workshops, and applied research.

Trilemma may pursue additional technical domains and program formats where they align with its charitable purposes and talent-development mission.

Trilemma operates according to these principles:

• Performance Over Pedigree: Trilemma values the quality, usefulness, reliability, and rigor of work over institutional prestige or traditional credentials.
• Talent First: Trilemma prioritizes contributor development and long-term talent formation over short-term project output.
• Direct Access: Contributors should be able to participate without institutional affiliation where practical.
• Learning by Building: Training should produce real technical outputs.
• High Agency: Contributors are encouraged to take ownership, solve problems independently, and move from ideas to shipped work.
• Evidence-Based Evaluation: Decisions should be grounded in observable work, contribution history, data, and measurable outcomes where possible.
• Open Collaboration: Useful knowledge, tools, and contribution pathways should be broadly accessible.
• Technical Excellence: Projects should be rigorous, reproducible, maintainable, reliable, and practical.
• Responsible Innovation: Technical work should consider real-world risks, misuse potential, data quality, and downstream impact.
• Genuine Participation: Participants are expected to engage honestly, contribute in good faith, accurately represent their work, and avoid performative or fabricated participation.

Trilemma is governed by its Board of Directors and operates subject to applicable Canadian legal requirements, as well as any other laws that may apply to specific activities, participants, jurisdictions, or partnerships.

Designated Trilemma representatives may lead strategy, programs, partnerships, technical direction, communications, and day-to-day operations, subject to Board oversight.

Advisors, mentors, volunteers, contractors, and contributors may support Trilemma activities. These roles do not create authority to bind or represent Trilemma unless expressly authorized.

Trilemma's programs may include:

• open learning hubs;
• direct-to-talent training;
• performance-based challenges;
• open-source initiatives;
• applied R&D labs;
• mentorship and talent development;
• formal education partnerships;
• global contributor programs.

Trilemma remains independent when collaborating with universities, companies, sponsors, contributors, funders, or other partners.

Collaboration does not create agency, employment, fiduciary, subsidiary, endorsement, supervisory, sponsor-liability, or representative relationships unless expressly agreed in writing.

Trilemma does not endorse any commercial product, investment strategy, employer, token, platform, institution, service, or third party unless expressly stated in an authorized written communication.

This Charter describes Trilemma's purpose, mission, model, principles, governance, and general scope.

This Charter is a public governance and mission document. It does not replace Trilemma's bylaws, governing documents, signed agreements, policies, or program-specific terms.

Specific matters are governed by separate policies, terms, and agreements, including privacy, terms and conditions, contributions, intellectual property, open-source licensing, challenge rules, repository rules, and formal education collaborations.

Where there is a conflict between this Charter and a signed project-specific agreement, the signed project-specific agreement controls for that specific engagement.

Trilemma's materials, tools, research, and educational resources are provided for educational and research purposes only and do not constitute financial, investment, legal, tax, medical, employment, immigration, or other regulated professional advice.

Trilemma may amend this Charter through approval by its Board of Directors in accordance with its governing documents.

Authorized representatives may make non-substantive administrative updates, including formatting changes, contact updates, typo corrections, and publication updates.

Official commitments must be made by authorized Trilemma representatives or verified Trilemma communication channels.

Informal messages, public posts, repository comments, chats, meeting notes, or similar communications do not amend this Charter or bind Trilemma unless expressly confirmed in writing by an authorized Trilemma representative.
